Operations Counsel will be primarily responsible for providing legal support to the operations and asset management departments. The operations team is responsible for operating over twenty renewable energy projects across North America. The responsibilities of the position will include managing legal issues related to Group’s operational assets, including contract, drafting and review as well as overseeing compliance with the Group’s credit agreements, internal processes and other legal requirements.


Key Accountabilities

The key responsibilities will include as a minimum the following:

  • Draft, negotiate, and review commonly used operational documents such as master service agreements, NDAs, terms and conditions, license agreements, parts purchasing agreements, turbine service agreements etc.
  • Advise operations staff regarding compliance with contracts, laws and internal authorizations.
  • Support regulatory and environmental compliance activities with the Senior Operations Counsel
  • Assist the operations group in tax equity, credit agreement as well as SEC compliance
  • Provide legal support to asset management, operations and procurement as needed
  • Other projects and duties as required.


Experience/Qualifications/Education Required

Educational Experience

  • Candidates must hold a Juris Doctor (JD) or equivalent law degree from an accredited institution.

Required Work Experience

The following criteria will be used as a basis for Pattern to select a qualified applicant

  • Must be barred in Texas and have 5-8 years of experience practicing commercial law in real estate, project finance, corporate or energy law with a well-regarded law firm or equivalent in-house legal department.
  • Extensive experience with negotiating and drafting contracts in connection with commercial transactions is required.
  • Previous operational experience particularly in renewable energy is highly desirable
  • Must be able to identify a broad range of legal and regulatory issues that may impact a project’s successful operation.
  • Familiarity with corporate governance standards and practices.
  • Experience with environmental and regulatory compliance is a plus
  • Experience dealing with transmission and interconnection issues is a plus
  • Previous in-house experience is a plus
  • Must be self-motivated, self-disciplined, and highly results oriented with an ability to manage priorities and workflow in a fast-paced work environment
